Terms of Service

These Terms of Service (“Terms”) govern your use of the Recapture AI website and your purchase or use of services provided by Recapture AI (“Recapture AI,” “we,” “us,” or “our”).
By purchasing a service, submitting payment, accepting these Terms during checkout, or otherwise using our services, you agree to these Terms.
1. Services
Recapture AI provides digital marketing and business growth services that may include website design and management, search engine optimization (“SEO”), local SEO, Google Business Profile optimization and management, advertising services, analytics, lead-generation forms, website maintenance, and related digital services.
The specific services included in a client’s plan are determined by the package, checkout page, proposal, invoice, or other written offer accepted by the client.
Services or work outside the included scope may require an additional fee.
2. Website Growth
Website Growth is a managed website service currently offered at the price disclosed at checkout.
The service may include custom website design, managed Framer hosting, responsive/mobile optimization, lead forms, basic on-page SEO, analytics setup, maintenance, minor content updates, and technical support.
“Minor content updates” generally include reasonable changes to existing text, images, contact information, business hours, and similar existing website content. Major redesigns, new functionality, substantial new pages, custom development, or work outside the original website scope may require an additional fee.
Unless otherwise stated in writing, Website Growth does not include ongoing comprehensive SEO, advertising management, advertising spend, premium third-party software, domain registration fees, or other services not specifically listed as included.
3. Local Growth
Local Growth includes the services described in the applicable offer and may include website management, Google Business Profile optimization, local SEO, keyword research and tracking, on-page SEO, Search Console monitoring, local search improvements, competitor analysis, and performance reporting.
The exact scope may evolve as search platforms, technologies, and business needs change.
4. Three-Month Launch Offer
Where offered, the Website Growth 3-Month Launch option requires payment for the first three months of Website Growth in advance.
The initial payment covers the first three months of service and may include an initial Google Business Profile optimization at no additional charge as a promotional bonus.
After the initial three-month period, Website Growth may continue at the then-agreed monthly rate unless canceled in accordance with these Terms.
Any applicable recurring billing terms will be disclosed to the client before purchase.
5. Recurring Billing and Payment Authorization
Certain Recapture AI services are provided on a recurring subscription basis.
By enrolling in a recurring service, you authorize Recapture AI and its payment processor to automatically charge the payment method you provide at the applicable recurring rate until the service is canceled.
Prices and billing frequency will be disclosed before payment.
Clients are responsible for maintaining a valid payment method.
If a payment fails or becomes overdue, Recapture AI may temporarily suspend services, website management, hosting, or other deliverables until the account is brought current.
6. Cancellation
Unless a different commitment is expressly disclosed before purchase, recurring month-to-month services may be canceled before the next billing date to prevent the next recurring charge.
Amounts already paid for service periods that have begun are generally non-refundable because Recapture AI allocates time, resources, software, and labor to provide the service.
Cancellation of a managed website service does not transfer ownership of the website project unless the client has earned ownership or completed an applicable website buyout.
Cancellation does not affect the client’s ownership of their domain name, Google Business Profile, business information, customer data, or materials originally supplied by the client.
7. Managed Website Ownership
For websites created as part of Recapture AI’s Website Growth managed service, Recapture AI retains ownership and control of the underlying Framer project during the initial managed-service period unless otherwise agreed in writing.
The client retains ownership of their business name, trademarks, logos, original photographs, domain name, business information, customer data, and other materials supplied by the client.
This structure allows Recapture AI to provide a custom website without requiring the client to pay the full cost of website development upfront.
8. Website Ownership After 12 Months
A Website Growth client who completes 12 consecutive paid months of the managed Website Growth service and whose account is current becomes eligible to receive ownership of the custom website project created for that engagement, subject to any third-party licensing restrictions.
Upon request, Recapture AI will transfer the eligible Framer project to the client’s Framer account.
Following transfer, the client is responsible for maintaining any Framer subscription, hosting plan, domain configuration, third-party software, or other services required to keep the website operational.
Transferring website ownership does not require the client to end their relationship with Recapture AI.
A client who owns their website may continue purchasing website management, maintenance, SEO, advertising, or other Recapture AI services under an available service plan.
9. Early Website Buyout
A Website Growth client who wishes to obtain ownership of their website before completing the applicable ownership period may request an early website buyout.
The applicable buyout price will be the amount disclosed in the client’s accepted offer, checkout terms, proposal, or other written agreement.
Once the applicable buyout amount and any outstanding balances are paid, Recapture AI will initiate transfer of the eligible Framer project to the client.
Following transfer, responsibility for the website’s Framer subscription, hosting, and related third-party costs becomes the client’s responsibility unless Recapture AI separately agrees to manage those services.
10. Domains and Client Accounts
Whenever reasonably possible, domain names should be registered to and controlled by the client.
Recapture AI may receive administrative or technical access for purposes such as connecting the domain, modifying DNS records, managing the website, performing SEO, or providing other contracted services.
Cancellation of Recapture AI services does not transfer ownership of a client-owned domain to Recapture AI.
Google Business Profiles and other business accounts belonging to the client remain the client’s property.
11. No Guarantee of Results
Digital marketing results depend on numerous factors outside Recapture AI’s control.
Recapture AI does not guarantee specific Google rankings, search positions, website traffic, leads, sales, revenue, advertising performance, conversion rates, or other business outcomes.
Search engines and advertising platforms may change their algorithms, policies, interfaces, pricing, availability, or ranking systems at any time.
Any projections, examples, estimates, case studies, or discussions regarding potential results are illustrative and are not guarantees of future performance.
12. Client Responsibilities
Clients agree to provide accurate information and reasonably timely access to materials, credentials, approvals, logos, photographs, business information, and other resources necessary to perform the agreed services.
Clients represent that they have the necessary rights and permissions to use materials they provide to Recapture AI.
Delays in providing information, access, feedback, approvals, or materials may affect project timelines and results.
13. Third-Party Platforms and Expenses
Recapture AI may use third-party services including Framer, Stripe, Google, domain registrars, analytics providers, advertising platforms, and other software or services.
Recapture AI does not control these third parties and is not responsible for changes to their pricing, policies, algorithms, availability, outages, account decisions, or functionality.
Unless expressly included in a purchased plan, advertising spend, premium software, domain registration, third-party subscriptions, and other external expenses are separate from Recapture AI’s service fees.
14. Intellectual Property
Clients retain ownership of intellectual property and materials they provide to Recapture AI.
Recapture AI retains ownership of its pre-existing processes, systems, templates, methods, internal tools, know-how, reusable components, and other intellectual property that was not created exclusively for a particular client.
Ownership of managed website projects is governed by Sections 7–9 of these Terms.
Third-party assets, fonts, software, integrations, stock materials, plugins, or other licensed materials remain subject to their respective licenses.
15. Refunds and Charge Disputes
Except where required by law or expressly agreed otherwise in writing, payments for services already performed, service periods already begun, completed setup work, and other delivered digital services are non-refundable.
Clients should contact Recapture AI promptly regarding billing questions or disputes so that we have an opportunity to investigate and resolve the issue.
Nothing in these Terms limits rights that cannot legally be waived.
16. Confidentiality
During a client relationship, either party may receive non-public business information belonging to the other party.
Each party agrees to take reasonable measures to protect confidential information and not disclose it except as necessary to provide the services, as authorized by the other party, or as required by law.
17. Suspension and Termination
Recapture AI may suspend or terminate services if a client materially violates these Terms, fails to make required payments, engages in unlawful or abusive conduct, or uses our services in a manner that creates unreasonable legal, security, financial, or reputational risk.
Outstanding payment obligations incurred before termination remain due.
18. Limitation of Liability
To the fullest extent permitted by applicable law, Recapture AI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, or loss of data arising from the use of our website or services.
To the fullest extent permitted by law, Recapture AI’s aggregate liability arising from a particular service engagement will not exceed the amount paid to Recapture AI for that service during the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
19. Indemnification
To the extent permitted by law, clients agree to indemnify and hold Recapture AI harmless from third-party claims, damages, liabilities, or reasonable expenses arising from materials supplied by the client, the client’s unlawful use of the services, infringement caused by client-provided materials, or the client’s violation of these Terms.
20. Communications
When you contact Recapture AI or submit information through our website, you authorize us to respond using the contact information you provide.
Marketing or automated communications will be handled in accordance with applicable law and our Privacy Policy.
21. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any disputes will be handled in accordance with applicable Florida and federal law.
22. Changes to These Terms
We may update these Terms periodically to reflect changes to our services, business practices, or legal requirements.
The updated version will be posted on this page with a revised “Last Updated” date. Changes will apply prospectively to the extent required by applicable law and any existing contractual commitments.
